Terms and Conditions

Effective October 8, 2026

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of AlphaLab (the "Service"), operated by Biscayne Funding LLC ("we", "us", "our"). By creating an account, clicking "I Agree", or using the Service, you agree to be bound by these Terms, our Privacy Policy, our Risk Disclosure and Disclaimers, and our Cookie Policy, each incorporated by reference. If you do not agree, do not use the Service. You must be at least 18 years old (or the age of majority where you live, if higher) and legally able to enter into contracts.

2. Nature of the Service

AlphaLab is an educational and simulation tool. It lets you create hypothetical ("paper") portfolios, run historical backtests, and view third-party market data, news, AI-generated summaries, and public regulatory filings. NO REAL MONEY, SECURITIES, OPTIONS, FUTURES, OR OTHER FINANCIAL INSTRUMENTS ARE BOUGHT, SOLD, HELD, OR TRANSFERRED THROUGH THE SERVICE. We are not a broker-dealer, futures commission merchant, investment adviser, commodity trading advisor, exchange, bank, or fiduciary, and we are not registered with the SEC, CFTC, FINRA, NFA, or any state securities regulator. The Service does not connect to any brokerage account and cannot place real trades. Content in the Service is general and impersonal: it is not tailored to your finances, goals, or risk tolerance, even when it refers to your simulated portfolios. The Service also includes a tiered educational curriculum of lessons and quizzes on trading and markets; this curriculum is general education, not personalized instruction or advice.

3. No Investment Advice

Nothing in the Service is investment, financial, legal, tax, or accounting advice, nor a recommendation or solicitation to buy, sell, or hold any security or instrument. All content, including strategy results, sentiment scores, AI summaries, calendars, and news, is for informational and educational purposes only. This includes the Tax Report, which shows simulated figures only and must not be used to prepare any tax return. You are solely responsible for your own investment decisions and should consult a qualified, licensed professional before making any. The educational curriculum, lessons, and quizzes are for general informational and educational purposes only; completing a lesson or passing a quiz does not certify, endorse, or qualify you to trade or to advise others, and does not verify any knowledge for any regulatory or licensing purpose.

4. Accounts

You are responsible for safeguarding your login credentials and for all activity under your account. Provide accurate information and notify us promptly of any unauthorized use. You may not share your account or let anyone else use it. You can delete your account at any time in your account settings. We may suspend or terminate accounts at our discretion, including for violation of these Terms.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose, market manipulation, or fraud; (b) scrape, resell, redistribute, or commercially exploit market data or content obtained through the Service; (c) reverse engineer, interfere with, or overload the Service; (d) upload malware or content you lack the rights to; (e) misrepresent simulated results as actual trading results, or use them to promote yourself as a trader, adviser, or fund manager; (f) access the Service through automated means except as we permit; (g) use the Service to give investment advice, trade signals, or recommendations to others; (h) use content or output from the Service to build or train a competing product or AI model; or (i) get around usage limits, security features, or plan restrictions.

5A. Sanctions and Export Controls

You may not use the Service if you are located in, or ordinarily live in, a country or region subject to comprehensive U.S. sanctions, or if you are on any U.S. government restricted-party list (such as the OFAC Specially Designated Nationals List). You agree not to use the Service in violation of U.S. or other applicable sanctions or export control laws. We may block access from any location to comply with law.

6. Third-Party Data and Services

Market data, quotes, news, filings, and calendar information are provided by third parties (for example, public market data sources and the SEC EDGAR system) and by AI models. This information is obtained from third-party sources we believe to be reliable, but we have not independently verified or vetted it. Such data may be delayed, inaccurate, incomplete, or unavailable, and is provided "as is". WE MAKE NO GUARANTEE OR WARRANTY, EXPRESS OR IMPLIED, AS TO THE ACCURACY, COMPLETENESS, OR TIMELINESS OF THE INFORMATION, AS TO HOW YOU USE IT, OR AS TO ANY RESULTS OBTAINED FROM ITS USE. ALL USE OF SUCH INFORMATION IS AT YOUR SOLE RISK. We do not endorse and are not responsible for third-party content, websites, or services. Your use of third-party data may be subject to additional third-party terms.

7. User Content

You retain ownership of the strategies, watchlists, notes, and files you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and display User Content solely to operate and improve the Service. You represent that you have all rights necessary to submit User Content. AI TRAINING: UNLESS YOU TURN IT OFF, YOUR USER CONTENT AND AI ASSISTANT CONVERSATIONS MAY BE USED TO IMPROVE AND TRAIN AI MODELS USED IN THE SERVICE. If you live in the European Economic Area, the United Kingdom, or Switzerland, this setting is off unless you turn it on. You can change this setting at any time with the "Use my data to train AI" switch in the sidebar or on the AI Assistant page; changes apply going forward. DATA ACCESS: Your data is private to your account and is not visible to other users. It is not, however, hidden from us: as the developer and operator of the Service, we and our hosting provider can technically access stored data to operate, secure, support, and maintain the Service, and as required by law. If you send us feedback or suggestions, we may use them freely without any obligation to you.

7A. Feedback and Suggestions

If you submit to us any ideas, suggestions, improvements, concepts, or feedback about the Service, whether through the Service, our support channels, or otherwise (collectively, "Suggestions"), you agree that all right, title, and interest in and to those Suggestions, including any improvements, features, or modifications derived from them, are the sole and exclusive property of Biscayne Funding LLC. We may use, implement, modify, or decline any Suggestion in whole or in part, in its original form or a similar form, without any payment, royalty, attribution, or other obligation to you. All present and future technology, intellectual property, improvements, and income derived from the Service, whether or not based on or inspired by your Suggestions, belong solely to us, and you have no ownership, license, interest, or other right in any of them. To the extent any Suggestion would otherwise be considered your intellectual property, you hereby irrevocably assign to us all rights in it, and waive any moral rights to the extent permitted by law.

8. Intellectual Property

The Service, including its software, design, text, graphics, and trademarks, is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

8A. Copyright Complaints

If you believe content in the Service infringes your copyright, send a notice to our designated agent at the contact details in Section 21. Your notice must include the information required by the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)). We may remove the content and will terminate the accounts of repeat infringers in appropriate cases.

9. Fees, Subscriptions, and Refunds

The Service is offered under a subscription model. A free tier is available with limited features and usage limits, and paid subscription plans (currently a Trader plan and a Pro plan) unlock additional features, asset classes, and higher limits. A separate subscription is available for the AI Assistant, which can be added to any plan, including the Free plan. If you buy a paid plan, the following applies. (a) Price and billing. We will show you the price, billing period, and any taxes before you buy. Payments are handled by our payment processor; we do not store your full card number. (b) Automatic renewal. Paid plans renew automatically at the end of each billing period at the then-current price, and we will charge your payment method until you cancel. Where required by law, we will remind you before an annual plan renews and before a free trial turns into a paid plan. (c) Cancelling. You can cancel online at any time in your account settings. Cancellation takes effect at the end of your current billing period, and you keep access until then. (d) Price changes. We will give you at least [30] days' notice of any price increase. The new price applies from your next billing period after the notice, unless you cancel first. (e) Refunds. Fees are non-refundable, except as required by law or as stated in these Terms. If we end the Service or your paid plan without cause, we will refund the unused part of any prepaid fees. (f) Right of withdrawal (EEA and UK). If you live in the EEA or the UK, you may cancel a new paid plan within 14 days after purchase and get a refund. If you ask us to start your plan right away, we may keep an amount in proportion to the time you used before cancelling. (g) Taxes. Prices may not include sales tax, VAT, GST, or similar taxes. We will add them where required.

10. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT SIMULATED OR BACKTESTED RESULTS WILL BE ACHIEVED IN ACTUAL TRADING.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR DATA PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOST OPPORTUNITIES, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY DECISION MADE IN RELIANCE ON IT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, your violation of these Terms, or any investment or trading decision you make.

13. Dispute Resolution; Binding Arbitration

PLEASE READ CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Except for small-claims matters and claims for injunctive relief relating to intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be seated in New York, New York, and conducted in English. Unless you and we agree otherwise, any hearing will be held by video, or in person in the county where you live if you ask for that. Claims of US$25,000 or less may be decided on written submissions alone, unless the arbitrator decides a hearing is needed. The Federal Arbitration Act governs the interpretation and enforcement of this section. Before starting arbitration, you agree to send us a written notice of the Dispute and to try in good faith to resolve it informally for at least thirty (30) days. The notice must include your name, account email, a description of the Dispute, and the relief you want. We will send any notice to you at your account email. The arbitrator may award any individual relief available in court, and the award may be entered as a judgment in any court of competent jurisdiction. Fees will be allocated as provided by the AAA rules. If 25 or more similar demands are filed against us by or with the help of the same or coordinated lawyers or organizations, the AAA Mass Arbitration Supplementary Rules will apply.

14. Class Action and Jury Trial Waiver

YOU AND WE AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person or preside over any form of representative or class proceeding, except as the AAA Mass Arbitration Supplementary Rules allow for administration. YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. If this class action waiver is found unenforceable as to any claim, that claim will be severed and heard in court as described in Section 16, and the remainder of the arbitration agreement will continue to apply.

15. 30-Day Opt-Out

You may opt out of the arbitration agreement in Section 13 by sending written notice of your decision to veritas73@gmail.com or by mail to 777 NW 2nd Avenue, Unit 1013, Miami, Florida 33132 within thirty (30) days after first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other part of these Terms.

16. Governing Law; Venue

These Terms and any Dispute are governed by the laws of the State of New York, without regard to its conflict-of-laws principles, and, where applicable, the Federal Arbitration Act. For any matter not subject to arbitration, or to compel arbitration or enforce an award, you and we consent to the exclusive jurisdiction of, and venue in, the state courts located in New York County, New York, and the United States District Court for the Southern District of New York.

16A. International Users and Mandatory Consumer Rights

If you live in the European Economic Area (EEA), the United Kingdom, Switzerland, the province of Québec, or another country whose laws give consumers rights that cannot be waived by contract, nothing in these Terms limits those rights. In particular, where local law prohibits it: (a) the arbitration agreement, class action waiver, and jury waiver in Sections 13 and 14 do not apply to you, and you may bring claims in the courts of your country of residence; (b) the choice of New York law does not deprive you of the protection of the mandatory laws of your country of residence; and (c) the disclaimers and limitations in Sections 10 and 11 do not exclude liability for death or personal injury caused by negligence, for fraud, gross negligence, or willful misconduct, or any other liability that cannot be limited by law. You are responsible for complying with local laws applicable to your use of the Service.

16B. Notice to California Users

Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by phone at (800) 952-5210.

17. Time Limit on Claims

To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim arises, or it is permanently barred.

18. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice. If you have a paid plan, Section 9(e) applies. Sections that by their nature should survive termination, including Sections 3, 7, 8, and 10 through 20C, will survive.

19. Changes to the Terms

We may modify these Terms from time to time. Material changes will be communicated through the Service, and we may ask you to accept the updated Terms. Your continued use after the effective date of the changes constitutes acceptance. If you have a paid plan, material changes take effect at the start of your next billing period. Changes to Sections 13 through 15 will not apply to any Dispute you notified us of before the change.

20. General

These Terms are the entire agreement between you and us about the Service. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Nothing in these Terms creates any agency, partnership, fiduciary, or advisory relationship.

20A. Electronic Communications

You agree that we may send you notices, disclosures, and other communications electronically, by email or in the Service, and that these meet any legal requirement that they be in writing.

20B. Events Outside Our Control

We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of data or hosting providers, internet failures, natural disasters, or government action.

20C. Language

If we provide these Terms in another language, the English version controls, except where local law requires otherwise.
